By accepting membership in this program, you agree that you will purchase Midtown Umbrellas merchandise for the sole purpose of conducting business with an individual client, and that you will not purchase Midtown Umbrellas merchandise for the purpose of reselling such merchandise to the general public through retail stores, the Internet, printed materials or any other means.

All images, copy and designs (collectively, "Materials") are either the property of, or used with permission by, Midtown Umbrellas. The use of these images by you, or anyone else authorized by you, is prohibited unless specifically permitted by Midtown Umbrellas. Any unauthorized use of the Materials may violate copyright laws, trademark laws, the laws of privacy and publicity and communications regulations and statutes. Your membership in the program should not be construed as granting, by implication or otherwise, any license or right to use any trademark, service mark or other Materials without the written permission of Midtown Umbrellas or the applicable third party that may own the trademarks, service marks or Materials. Membership may be denied or terminated at any time, with or without cause, at Midtown Umbrellas's sole discretion.

As a member of Midtown Umbrellas's Business-to-Business program, you are granted the authority to reproduce images as is required to conduct business with your individual interior design and decorating clients.

You also acknowledge that Midtown Umbrellas is not responsible for liabilities associated with products you have purchased for commercial use that are not within our designated contract-grade grouping of items. When purchasing items that are not designated contract-grade, you acknowledge that utilizing the noted products in a non- residential setting voids all warranties and the products are not eligible for exchange, replacement or refund. The items are sold as final sale. Also, you acknowledge that you are releasing Midtown Umbrellas from all liabilities and responsibilities and indemnifying Midtown Umbrellas from any damages or liability for third-party safety, and you accept this as the terms of sale.
